- Ensure that all materials provided to us do not infringe third-party rights

5. SEO Performance Disclaimer
Search engine optimization results depend on numerous factors outside our control, including search engine algorithm changes, competitive activity, and client implementation of recommendations. While we employ proven white-hat methodologies and set realistic expectations, we do not guarantee specific ranking positions, traffic volumes, or revenue outcomes. Past performance described in case studies does not guarantee future results for any individual client.
6. Payment Terms
Payment terms, billing cycles, and accepted payment methods will be specified in the applicable service agreement. Unless otherwise stated, invoices are due within 30 days of receipt. Late payments may incur interest at the rate permitted by applicable law and may result in suspension of services.

Provisions that by their nature should survive termination—including intellectual property, confidentiality, limitation of liability, and indemnification—shall survive.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in New York County, New York.
